BLACK CREEK END USER LICENSE AGREEMENT (EULA)
This is a end user license agreement (EULA), between Spencer Charles (SC), and the end user (licensee).
1. LICENSE GRANT
Upon full payment of the license fee, SC grants the Licensee a non-exclusive and non-transferable right to use the font software and to save it on a maximum of five (5) workstations (CPU’s). For licensing beyond 5 workstations, please contact SC. Licensee may make backup copies of the font software.
2. THIRD PARTIES
You may provide the font to a graphic designer, printer or other service bureau that is working on your behalf only if they agree to use the font exclusively for your work, agree to the terms of this license, and retain no copies of the font on completion of the work. You may not provide the font or make it accessible to any other third parties.
3. USAGE RESTRICTIONS
Modifying, decompiling, transforming, blending, or adapting the font software and its contents is prohibited. Creating derivative works of this font software is also prohibited. You may import characters from the font as graphical objects into a drawing program and modify such graphical objects.
4. USAGE OF GLYPHS & FONT
A separate license is required for using glyphs to create a logotype, a product to be sold, or if the font represents the main design of the commercial product. A separate license is also required if the font is used as part of a larger corporate identity, or if the font is used as part of a larger advertising campaign.
5. VIOLATION OF TERMS
Violation of this agreement constitutes a termination of this license. Spencer Charles reserves the right to immediately terminate the EULA. In the event that the EULA is terminated, the Licensee is obligated to delete the Font Software from all media and to provide written assurance that said deletion has occurred.
Font software may not be returned or exchanged. Font software is provided "as is". Spencer Charles cannot be held responsible for any damages caused or borne by the end user and/or third parties resulting from a misuse of the Font software and/or packages described above. Licensee can request redownload of the font if proof of purchase is provided.
7. GOVERNING LAW
This agreement is governed by the laws of the United States of America and the state of New York.
